BOSTON (May 21, 2026) – MFS Investment Management (“MFS”) announced today that the reorganization of MFS High Income Municipal Trust (NYSE: CXE), MFS High Yield Municipal Trust (NYSE: CMU), and MFS Investment Grade Municipal Trust (NYSE: CXH) (each a “Target Fund” and collectively, the “Target Funds”) into MFS Municipal Income Trust (NYSE: MFM) (the “Surviving Fund”) (each a “Reorganization” and collectively, the “Reorganizations”) will be completed by the open of business on the New York Stock Exchange (“NYSE”) on Monday, June 8, 2026, subject to the satisfaction of certain closing conditions.

BOSTON (May 18, 2026) – MFS Investment Management (“MFS”) announced today that shareholders of MFS Charter Income Trust (NYSE: MCR) and MFS Intermediate High Income Fund (NYSE: CIF) (each a “Target Fund” and collectively, the “Target Funds”) have approved the reorganization of each Target Fund into MFS Multimarket Income Trust (NYSE: MMT) (the “Surviving Fund”) (each a “Reorganization” and collectively, the “Reorganizations”) and that shareholders of the Surviving Fund have approved (i) the appointment of abrdn Inc. (“Aberdeen”) as the new investment adviser, (ii) the appointment of five new trustees, and (iii) the issuance of additional common shares in connection with the Reorganizations. MFS will provide further details concerning the timing for the consummation of each of these initiatives shortly.

The Proposals are subject to approval by each Fund’s shareholders, as discussed further below, and the satisfaction or waiver of certain other conditions. The Fund is offering to purchase up to 50% of the Fund’s outstanding common shares (the “Shares”) at a price per Share equal to 99% of the Fund’s net asset value (“NAV”) per Share calculated as of the close of regular trading on the New York Stock Exchange on the date the offer expires. The tender offer will expire at 5:00 P.M., Eastern Standard Time on May 12, 2026, unless extended. The pricing date will also be May 12, 2026, unless the tender offer is extended. If the number of shares tendered exceeds the maximum amount of the offer, the Fund will purchase shares from tendering shareholders on a pro-rata basis.

The Meeting was adjourned to allow for the solicitation of additional shareholder votes relating to a proposal that shareholders of CXE approve an Agreement and Plan of Reorganization between CXE and the MFS Municipal Income Trust (NYSE: MFM) (the “Surviving Fund”) (the “Reorganization”).

On December 11, 2025, the Board of Trustees of the MFS closed-end funds approved proposals to reorganize seven of the closed-end funds into two existing closed-end funds, as well as the appointment of a new investment adviser and board of trustees. Proxy materials have been mailed seeking approval from relevant fund shareholders.

BOSTON (April 29, 2024) – MFS Investment Management® (MFS®) announced a liquidating distribution for MFS Special Value Trust (NYSE American: MFV), a closed-end management investment company ("the fund"). The distribution is payable on April 29, 2024, to shareholders of the fund at the close of business on April 10, 2024. The liquidating distribution is being made pursuant to the fund’s plan of liquidation and termination, as initially announced on February 13, 2024. The liquidating distribution will be paid entirely in cash and will represent all of the fund’s net assets except for amounts set aside for reasonably ascertainable liabilities and obligations of the fund.
